Purchase price: 10 cents per share
Warrants: 4.5 million share purchase warrants to purchase 4.5 million shares
Warrant exercise price: 16 cents for an 18-month period, subject to an acceleration clause
Number of placees: 26 placees
Insiders: ATM Mining Corp. (Craig Dalziel), 600,000; 677185 B.C. Ltd. (Steve Vanry), 200,000
Finder’s fee: Luis Zapata, $12,500 cash payable
