PRIVATE PLACEMENT

Teuton Resources Corp. has agreed to complete a private placement to raise proceeds of up to $900,000. It has been agreed that the offering will comprise up to 2,000,000 units at $0.45 per unit. Each unit will consist of one common share of the Company plus one warrant entitling the subscriber to purchase a common share at $0.50 for a one year period, or alternatively for $0.65 for a two year period.

Proceeds of the offering will be expended on the Company’s properties in northwestern British Columbia and for general corporate purposes.

The offering is subject to approval from the regulatory authorities.
